Governance Committees
Underwriting Committee
This committee gives input and helps to formulate the underwriting policies of Conventus and serves in the capacity of advisor to the Underwriting Vice President. The committee members help identify new exposures in medical practices, give clinical advice on new procedures, review and advise on candidates for membership presented at the committee meetings, and make themselves available to the underwriters for phone consultations. The committee members are a diverse group of primary care and surgical specialties who are dedicated to helping Underwriting best understand the complexities of the changing medical field. They help us understand clinical trends and the business of medical practices, which enables the underwriters to achieve the best selection of risk.

Claims Committee
This committee is made up of members of various medical specialties. These physicians review potentially large claims and provide their input to the
Vice President of Claims. They will review the claim details, patient’s chart and provide their opinion as to the standard of care provided. This information is then used in formulating the tactics to be used in the defense of the action.

Risk Management Committee
This committee confers with the Attorney-in-Fact to develop an effective risk management program designed to assist members in specific areas of their medical practice. It monitors claims trends in order to identify problem areas and member activities requiring loss control evaluations and assists in the development of educational programs. Finally, the committee makes recommendations to the Board of Governors for policies that will implement a comprehensive risk management program for any Member that requests or requires it.

Professional Affairs Committee
This committee serves as an extension of the sales department working directly with the
Vice President of Sales. The members provide input and feedback for the direct sales force as well as the independent brokers representing Conventus. These physicians also provide a sounding board for their peers on behalf of the sales department.

Nominating Committee
This committee is responsible for reviewing all candidates recommended for the Board. They make the initial contact with the proposed member after evaluating the candidate, then determine the candidate’s level of interest and commitment to serving on the Board. They inform the potential candidates of their duties and responsibilities should they be elected to the Board and answer any questions that the candidate may have. They then provide the Executive Committee with the names of physicians they would recommend for consideration as a result of their search.

Executive Committee
Except for the power to amend the Rules and to fill vacancies on the Board, the Executive Committee shall have power to act for the Board during the interim period between the meetings of the Board. This committee also has the responsibility of meeting with potential Board members referred by the Nominating Committee, interviewing the candidates and then making their final recommendations to the Board.

Audit and Finance Committee
This committee will review, with the Board of Governors, policies and procedures to reasonably assure the adequacy of internal controls over accounting, administration, compliance with laws and regulations and financial reporting. The committee will also have familiarity with the accounting and reporting principles and practices applied by the Exchange in preparing its financial statements. Finally, it will review, prior to the annual audit, the scope and general extent of the independent auditor’s planned examination, including their engagement letter.

Practice Management Advisory
Committee
This committee consists of office and
practice managers from Conventus-member practices. The
Practice Management Advisory Committee meets quarterly to review
risk management, claims, underwriting and marketing updates,
allowing the management team to hear directly from the physician
offices in an open forum, providing valuable information on how we
can best serve them.
